CADLY Commercial License

1. Licensed Models

This Agreement applies to the following CADLY digital models:

·       1x Electric Turbo Fan with Pivoting-Door Reverse Thrust

·       1x Electric Turbo Prop with Variable Pitch Propellers

·       1x Electric Turbo Fan with Functional Reverse Thrust

2. Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable, one-time commercial license to:
• Manufacture Electric Turbo Fan with Pivoting-Door Reverse Thrust model, Electric Turbo Prop with Variable Pitch Propellers model, Electric Turbo Fan with Functional Reverse Thrust.
• Modify the digital models where necessary for manufacturing, tooling, fixturing, or printing.
• Remove or modify surface text, logos, or markings where required.
• Deliver the completed physical models to the Licensee's named client solely for use in a trade show or exhibition.

3. Restrictions

The Licensee may not:
• Sell, distribute, or share the digital files.
• Transfer this license to another party.
• Manufacture additional copies beyond those authorised by this Agreement.
• Use the files for any other customer or project.
• Publish or upload the digital files online.

Any additional production or future commercial use requires a separate written license from the Licensor.

4. Intellectual Property

All copyrights, intellectual property rights, and ownership of the digital models remain the exclusive property of the Licensor.

No ownership rights are transferred under this Agreement.

5. License Fee

The Licensee agrees to pay a one-time commercial license fee of AU$1,500 AUD.

Payment is due prior to delivery of the production files.

6. Warranty

The digital files are provided 'as is.' While reasonable effort has been made to ensure the files are suitable for manufacture, the Licensor makes no warranty regarding fitness for any particular purpose.

7. Limitation of Liability

The Licensor shall not be liable for any indirect, incidental, or consequential damages arising from use of the digital files or manufactured products.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding this license and may only be amended in writing.
